Standard Commerical License
Grant of Rights
- Non-exclusive, non-transferable license for limited use of the Track. (10.000 Distribution Copies, 100.000 monetized Audio Streams)
- Licensee can modify and incorporate the Track into new compositions or masters.
- Usage includes commercial and non-commercial projects (e.g., albums, performances, streaming, audiovisual works).
Delivery
- Track provided as MP3, WAV, and Track Stems upon payment.
Ownership
- The Licensor retains all copyrights to the original Track.
- Joint ownership of new compositions created by the Licensee using the Track (50% each).
Usage Restrictions
- Cannot resell the original Track.
- Synchronization rights limited to specific approved audiovisual works (e.g., promotional videos).
- No sublicensing or use for unauthorized purposes.
Royalties
- No additional royalties owed for licensed use.
- Mechanical royalties apply for sales in the U.S., Canada, and internationally at prevailing rates.
Termination
- Breach of contract or unauthorized use results in termination.
- Licensor may seek legal remedies for violations.
Credits
- Licensee must credit Licensor as "Produced by waytoolost."
Audit Rights
- Licensor can audit Licensee’s records related to royalties and usage.
Force Majeure
- Licensor’s obligations may be suspended due to unforeseen events.
- Governing Law
- Agreement governed by laws of Essen, Germany.
